Acceptable Use Policy

This Acceptable Use Policy ("AUP") applies to everyone who accesses the websites, investor data room, software, and other services of Resonix Labs (Canada) Inc. ("Resonix"). It supplements the Terms of Use (03), Terms of Service (02), and applicable license agreements. We may update it from time to time.

1. You must not

Security & integrity

  • Attempt to gain unauthorized access to any system, account, data, or network, or breach or circumvent authentication, access tiers, or security controls.
  • Probe, scan, or test the vulnerability of our systems without our prior written authorization, or breach security or monitoring measures.
  • Introduce malware, or interfere with or disrupt the integrity or performance of the services (e.g., denial-of-service, flooding).

Data & content

  • Scrape, harvest, crawl, or bulk-download content or personal data except as expressly permitted.
  • Use any automated means to collect site content (including documentation and benchmark posts) to train, fine-tune, or build an AI/ML model or dataset, without our prior written consent.
  • Access, copy, screenshot for redistribution, republish, or share confidential data room materials outside your authorized use.
  • Misappropriate or infringe others' intellectual property, privacy, or other rights.

Software (applies to use of licensed Resonix software)

  • Reverse engineer, decompile, or disassemble the software except as the applicable license expressly allows.
  • Share, copy, or circumvent license keys; exceed your licensed scope; or redistribute software except as permitted by its license.
  • Use licensed software (or its outputs) to build a competing product, in breach of the applicable license (04/05). (This restriction concerns use of licensed software; it does not restrict reading our public website.)
  • Publish materially misleading, non-reproducible, or undisclosed-configuration benchmarks of our software. Fair, reproducible benchmarks that disclose the configuration, software version, and hardware used are permitted.

Conduct & law

  • Use the services unlawfully, fraudulently, or in violation of export-control or sanctions laws (see Export Control & Compliance Policy (09)).
  • Impersonate others or misrepresent your affiliation; transmit unlawful, harassing, defamatory, or harmful content; or send spam.
  • Use the services for any high-risk or safety-critical purpose except under a written agreement that expressly permits it.

2. Accounts & access

You are responsible for activity under your account and for keeping credentials and license keys confidential. Access to non-public areas is granted at our discretion, is tiered, may be logged and audited, and may be revoked at any time.

3. Monitoring & enforcement

We may (but are not obligated to) monitor use for compliance and security, including the access and audit logging described in the Privacy Policy (01) §2(b). We may investigate suspected violations and suspend or terminate access, remove content, and report unlawful activity to authorities. We may take any action we consider appropriate, including legal remedies.

Suspension or termination under this AUP is in addition to (and does not limit) any remedies or termination rights under the Terms of Service (02) §4, the SolvSRK License (04) §8, the Free EULA (05) §8, and the Export Control & Compliance Policy (09).

4. Reporting & security-researcher safe harbor

Report security issues or suspected abuse to security@resonixlabs.io or hello@resonixlabs.io. Please give enough detail to let us investigate.

Safe harbor for good-faith research. Although §1 prohibits unauthorized probing of our systems, we will not pursue legal action against security research that, in good faith: (a) follows this reporting process and gives us reasonable time to remediate before any disclosure; (b) avoids privacy violations, data exfiltration or destruction, and any degradation of our services (no denial-of-service, no testing against other users' data); and (c) does not access more data than necessary to demonstrate the issue. Acting consistently with this safe harbor will be considered authorized conduct; if in doubt, ask us first at the address above.
